Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Apex Closers marketplace and website at apexclosers.biz (the "Service"), operated by Apex Closers Ltd ("Apex Closers", "we", "us", "our"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.
The Service
Apex Closers is a two-sided marketplace that connects businesses running high-ticket offers ("Clients") with professional sales closers ("Closers"). We provide vetting, AI-assisted matching, in-app messaging, call scheduling (including optional Google Calendar sync), deal and commission tracking, contracts, invoices and reviews. Apex Closers is a platform provider only; we are not a party to the engagement between a Client and a Closer, are not an employer, agency, or joint employer, and do not guarantee any hire, deal, income, or outcome.
Accounts
You are responsible for the accuracy of your account information and for safeguarding your credentials. You are responsible for all activity under your account. Notify us immediately of any unauthorised use.
Closer and Client obligations
Closers must provide truthful profile, experience and track-record information and perform engagements professionally and lawfully. Clients must describe offers, commissions and expectations honestly. Both parties agree to keep matching, communications, calls, deals and payments on the platform, and not to circumvent the Service to avoid fees, solicit off-platform contact/payment, or share personal contact or payment details in violation of these Terms.
Commissions, fees and payments
Engagements are commission-based as agreed between the Client and Closer and as reflected on the platform. Apex Closers is paid on performance only: a Closer becomes entitled to their share of commission solely after the Client has actually paid that commission to Apex Closers on a closed/won deal. If a Client does not pay the commission on a deal, no commission is collected, none is owed, and Apex Closers is under no obligation and is not liable to pay the Closer for that deal — Apex Closers never advances or guarantees payment out of its own funds. All transaction, payment-processing and remittance charges are deducted from the commission the Client pays before any split; the standard 85% (Closer) / 15% (Apex Closers) split is then applied to the net commission remaining after those charges. You are responsible for any fees, commissions, taxes and payment obligations arising from your use of the Service, and all rates are disclosed on each job before acceptance. Except where expressly stated, fees are non-refundable.
Scheduling & connected services
If you connect Google Calendar or another third-party service, you authorise us to act on your behalf to provide the related features (e.g. creating call events, reading free/busy availability, sending outreach). Your use of third-party services is also governed by their terms and privacy policies, and our use of Google user data complies with the Google API Services User Data Policy (including its Limited Use requirements). You may disconnect any service at any time.
Acceptable use
You agree not to: violate any law or third-party rights; send spam or unlawful outreach; upload malicious code; scrape or abuse the Service; misrepresent yourself; harass other users; or interfere with the Service's operation or security. You are solely responsible for ensuring your outreach and sales activity comply with applicable laws (including anti-spam and consumer-protection regulations) and with the terms of any connected platform.
User content
You retain ownership of the content you submit. You grant us a worldwide, non-exclusive licence to host, process and display that content solely to operate and improve the Service. You are responsible for having the rights to any data you upload, including prospect and lead data, and for handling it lawfully.
Intellectual property
The Service, including its software, design, branding and content (excluding your content), is owned by Apex Closers and protected by law. We grant you a limited, revocable, non-transferable licence to use the Service in accordance with these Terms.
Third-party conduct & disputes
Any engagement, contract, payment or dispute between a Client and a Closer is solely between those parties. We may offer optional mediation tools, but we are not responsible for the acts or omissions of any user and disclaim liability for the quality, legality, safety or outcome of any engagement.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, or that the Service will be uninterrupted, secure or error-free. AI-generated scores, matches and messages are provided for assistance only and may be inaccurate; you are responsible for reviewing them.
Limitation of liability
To the maximum extent permitted by law, Apex Closers and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, goodwill, or business, arising from or related to your use of the Service. Our total aggregate liability for any claim will not exceed the greater of the amounts you paid us in the 3 months before the claim or USD $100.
Indemnification
You agree to indemnify and hold harmless Apex Closers from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Service, your content, your engagements with other users, your outreach activity, or your violation of these Terms or any law or third-party rights.
Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or misuse the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability and indemnification) will survive.
Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes to these Terms will be indicated by the "Last updated" date below and, where appropriate, notified in-app or by email. Continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws applicable at Apex Closers' principal place of business, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the competent courts in that location, unless otherwise required by mandatory local law.
