Apex Closers — Closer Platform Agreement
APEX CLOSERS — CLOSER PLATFORM AGREEMENT

This Agreement governs your participation as a Closer on the Apex Closers marketplace ("Platform"), operated by Apex Closers. By signing you agree to the following:
1. THE MARKETPLACE. Apex Closers connects vetted, elite high-ticket closers with founders and businesses ("Clients") who post closing jobs. You may be matched to Client jobs based on fit and your available capacity.
2. INDEPENDENT CONTRACTOR. You are an independent contractor, not an employee. You are responsible for your own taxes and business expenses. Apex Closers earns a platform fee on commissions generated through the Platform.
3. COMMISSION MODEL. You are paid on performance (commission on deals you close for a Client). Apex Closers retains a platform fee (default 15%) of your commission. Clients are invoiced their platform fee separately. All fees are disclosed before you accept an engagement.
4. KEEP IT ON PLATFORM (ANTI-CIRCUMVENTION). This is the most important rule. ALL communication, negotiation, hiring, deal reporting, invoicing and payment with a Client you meet through Apex Closers MUST stay on the Platform, exactly like Upwork. You may NOT share personal email, phone, payment handles, or move a relationship off-platform. The ONLY permitted exception is the Client's own sales-call calendar/appointment tool used to run the actual prospect appointments they hand you — but every transaction and every Client/Closer conversation stays inside Apex Closers. Attempting to circumvent the Platform is a material breach and grounds for immediate removal and forfeiture of fees.
5. CAPACITY & AUTO-ASSIGNMENT. You will not be auto-matched beyond your capacity. Base capacity is a limited number of active Clients; if you demonstrate you have a team and can scale delivery, your capacity increases. Consistent, proven high performance may unlock higher capacity subject to admin review and approval.
6. INTERVIEWS & HIRING. When matched, a Client may message you, interview you, and book a live interview before hiring. A working engagement begins only when the Client hires you and the deal is signed on-Platform.
7. DISENGAGEMENT & MEDIATION. Either you or a Client may request to disengage for good reason. Disengagement requests are reviewed by Apex Closers admin, who may mediate toward a fair resolution where possible before approving. You agree to act professionally and in good faith throughout.
8. PROFESSIONAL CONDUCT & INTEGRITY. You will represent Apex Closers with excellence, honesty and respect. No misrepresentation, no spam, no fraudulent or deceptive conduct. Apex Closers is committed to a scam-proof, trusted marketplace and enforces these terms.
9. CONFIDENTIALITY. Client pipelines, prospect data and offers are confidential and used solely to deliver the engagement.
10. TERMINATION. Apex Closers may suspend or remove any account that violates these terms. Sections on anti-circumvention, confidentiality and fees survive termination.
